Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and TapIn Health, Inc., a Delaware corporation ("TAPiN," "we," "us") governing your use of the TAPiN app and website. By creating an account or using TAPiN, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use TAPiN.

1. Eligibility

You must be at least 13 years old to use TAPiN. By using the app you represent that you meet this requirement and that the information you provide is accurate.

2. Your account

You are responsible for your account and for activity under it. Keep your sign-in credentials secure. You may delete your account at any time in Settings → Account Actions → Delete Account.

3. License

We grant you a personal, non-exclusive, non-transferable, revocable license to use TAPiN for your own personal, non-commercial use, subject to these Terms.

You own the content you create. You grant us a limited license to host, store, display, and distribute your content as necessary to operate the app (for example, showing your moments to the friends or groups you choose). You are responsible for the content you post and for having the rights to share it.

6. Community safety

TAPiN has zero tolerance for objectionable content and abusive behavior. You can report content and block users directly in the app. We review reports and may remove content or suspend or terminate accounts that violate these Terms.

7. Health disclaimer

TAPiN is a wellness, fitness, and social-memory app for general informational purposes only. Any metrics, scores, "load," estimates, or insights it displays are not medical advice, diagnosis, or treatment, and are not a substitute for professional medical judgment. Always consult a qualified physician or healthcare provider before making decisions about your health, fitness, diet, or any medical condition, and never disregard or delay professional medical advice because of something in TAPiN. If you think you may have a medical emergency, call your doctor or emergency services immediately.

8. Beta software, provided "as is"

TAPiN is provided on an "as is" and "as available" basis, and during beta may contain bugs, errors, or interruptions and may result in loss of data. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, secure, or error-free, or that any data will be accurate or preserved.

9. Limitation of liability

To the fullest extent permitted by law, TAPiN and its owners, officers, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from your use of the service. Our total liability for any claim relating to the service will not exceed the greater of (a) the total amounts you paid us for the service in the twelve (12) months before the event giving rise to the claim, or (b) USD $100.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above may not apply to you. Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including, where applicable, liability for gross negligence, willful misconduct, fraud, or death or personal injury caused by negligence.

10. Indemnification

You agree to indemnify and hold TAPiN harmless from claims, damages, and expenses (including reasonable legal fees) arising out of your content, your use of the service, or your violation of these Terms or the rights of others.

11. Dispute resolution & arbitration

Please read this section carefully. It affects how disputes are resolved and, unless you opt out, limits your right to sue in court or participate in a class action.

Informal resolution first. Most concerns can be resolved quickly. Before starting a formal proceeding, please contact us at support@tapinhealth.app and give us at least 30 days to try to resolve the dispute informally and in good faith.

Binding individual arbitration. If a dispute is not resolved informally, you and TAPiN agree that any dispute arising out of or relating to these Terms or the service will be resolved by binding arbitration on an individual basis, rather than in court, except that (i) either party may bring an individual claim in small-claims court, and (ii) either party may seek injunctive or equitable relief in court to protect its intellectual-property rights or to stop unauthorized access to or misuse of the service.

Jury-trial and class-action waiver. To the extent permitted by law, you and TAPiN each waive the right to a trial by jury and the right to bring or participate in any class, collective, consolidated, or representative action. Disputes will be arbitrated only on an individual basis.

30-day right to opt out. You may opt out of this arbitration agreement and the class-action waiver by emailing support@tapinhealth.app within 30 days of first accepting these Terms, with your name and a statement that you opt out of arbitration. If you opt out, disputes will be resolved in the courts identified in Section 14. Opting out does not affect any other part of these Terms.

Rules and venue. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by these Terms. The arbitration will be seated in Delaware, and may be conducted by written submissions, telephone, or video where the rules allow. The arbitrator's decision will be final and binding. Payment of filing and arbitration fees will be governed by the AAA rules and applicable law. Nothing in this section waives any right that cannot be waived under applicable law.

12. Termination

You may stop using TAPiN and delete your account at any time. We may suspend or terminate your access if you violate these Terms or to protect the service or other users.

13. Changes

We may update these Terms. For material changes we will update the version above and ask you to review and re-accept. Continued use after changes take effect means you accept the updated Terms.

14. Governing law & venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. For any dispute that is not subject to arbitration under Section 11 (including where you have opted out), you and TAPiN submit to the exclusive jurisdiction of the state and federal courts located in Delaware.

If you are a consumer, nothing in these Terms deprives you of the protection of the mandatory consumer-protection laws of your country or state of residence, or of any right you may have under applicable law to bring proceedings in your local courts.
